In consideration of the provision of Goods and/or Services by Cassidy Amber Chapman Worldwide and the rights granted to the Client under these Terms of Service, the Client shall pay the applicable fees prior to the provision of Goods and/or Services. Unless otherwise agreed upon, the Client shall make all payments hereunder in US dollars by the method of payment agreed upon by the Parties.

1. Taxes. The Client shall be responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by the federal, state, or local governmental entity on any amounts payable by the Client hereunder.

1. Client Obligations. The Client shall cooperate with Cassidy Amber Chapman Worldwide and Cassidy Amber Chapman Worldwide’s employees and/or agents in all matters relating to the provision of Goods and/or Services, including without limitation, responding promptly to Cassidy Amber Chapman Worldwide communications, and providing to Cassidy Amber Chapman Worldwide information reasonably requested to carry out the provision of Goods and/or Services.

1. Delivery of Goods and Performance of Services.

Goods purchased by the Client will be delivered within a reasonable time after the receipt of the Client’s purchase, subject to the availability of Goods and any third-party terms affecting delivery of Goods. Cassidy Amber Chapman Worldwide shall not be liable for any delays, loss, or damage in transit.

1. Cassidy Amber Chapman Worldwide shall deliver any physical Goods to the Client at the address provided by the Client at the time of purchase. Unless otherwise provided, the Client shall be responsible for all delivery costs for Goods purchased.

1. Refunds. Cassidy Amber Chapman Worldwide DOES NOT PROVIDE REFUNDS. BY ACCEPTING THE TERMS OF THIS AGREEMENT, THE CLIENT FOREGOES THE RIGHT TO CLAIM ANY REFUND OF FEES PAID TO Cassidy Amber Chapman Worldwide.

1. Accessing the Website and Account Security.

Cassidy Amber Chapman Worldwide reserves the right to withdraw or amend the Website, and any service or material provided on the Website, in Cassidy Amber Chapman Worldwide’s sole discretion and without notice. Cassidy Amber Chapman Worldwide will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. Cassidy Amber Chapman Worldwide DOES NOT GRANT THE CLIENT ANY RIGHT, LICENSE, OR INTEREST IN Cassidy Amber Chapman Worldwide INTELLECTUAL PROPERTY RIGHTS, NOR DOES Cassidy Amber Chapman Worldwide GRANT THE CLIENT THE RIGHTS OR AUTHORIZATION TO SHARE DELIVERABLES WITH THIRD PARTIES UNLESS AGREED UPON IN WRITING AND SIGNED BY THE PARTIES.

The Website and its entire contents, features, and functionality (including but not limited to all data, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Cassidy Amber Chapman Worldwide and are protected by United States copyright, trademark, patent, trade secret, and other intellectual property laws.

1. Testimonials. Clients may be asked to give a statement, or for permission to share or otherwise use a previously communicated statement, regarding Cassidy Amber Chapman Worldwide services (each a “Testimonial”) by Cassidy Amber Chapman Worldwide. Sharing a Testimonial with Cassidy Amber Chapman Worldwide or its agents or employees authorizes Cassidy Amber Chapman Worldwide to use, copy, exhibit, publish, and distribute the Testimonial, in whole or in part, for advertising, marketing, publicity, and promotion of Cassidy Amber Chapman Worldwide and its products and services and all other commercial business purposes. Cassidy Amber Chapman Worldwide may modify the Testimonial so long as the original content is not significantly altered or misrepresented. The Client acknowledges that Cassidy Amber Chapman Worldwide will not provide compensation other than any goodwill and publicity relating to Cassidy Amber Chapman Worldwide’s use of the Testimonial.

1. Term and Termination.

1. Term. This Agreement shall commence as of the date the Client purchases Goods and/or Services from Cassidy Amber Chapman Worldwide (the “Purchase Date”) and shall continue thereafter until the completion of the Services or delivery of Goods, unless sooner terminated pursuant to Section 24(b).

1. Termination. Either party may terminate this Agreement immediately upon notice to the other party.

1. Relationship of the Parties. The relationship between the parties is that of independent contractors. The details of the method and manner for performance of the Services by Cassidy Amber Chapman Worldwide shall be under its own control, the Client being interested only in the results thereof. Cassidy Amber Chapman Worldwide shall be solely responsible for supervising, controlling, and directing the details and manner of the completion of the Services. Nothing in this Agreement shall give the Client the right to instruct, supervise, control, or direct the details and manner of the completion of the Services. The Services must meet the Client’s final approval and shall be subject to the Client’s general right of inspection throughout the performance of the Services and to secure satisfactory completion. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have the authority to contract for or bind the other party in any manner whatsoever.

1. Amendment

Cassidy Amber Chapman Worldwide reserves the right, in its sole discretion, to amend the Terms of Service and/or Privacy Policy at any time. All changes are effective immediately when they are posted, and apply to all access and use of the Website thereafter, including the purchase of Cassidy Amber Chapman Worldwide Goods and Services. No waiver by Cassidy Amber Chapman Worldwide of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and a failure of Cassidy Amber Chapman Worldwide to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any term or provision of the Terms of Service is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect, invalidate, or render unenforceable any other term or provision of these Terms of Service in any other jurisdiction.

1. Indemnification. You agree to defend, indemnify, and hold harmless Cassidy Amber Chapman Worldwide, its affiliates, licensors, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service.

1. Entire Agreement. These Terms of Service and the Cassidy Amber Chapman Worldwide Privacy Policy constitute the sole and entire agreement between you and Cassidy Amber Chapman Worldwide and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

1. Dispute Resolution. The Parties shall attempt to resolve any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity hereof (each, a “Dispute”), by negotiation and consultation in good faith between themselves.

1. Governing Law. All matters relating to these Terms of Service, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Massachusetts.

1. Force Majeure. Cassidy Amber Chapman Worldwide shall not be liable or responsible to the Client, or be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure or delay is caused by or results from acts beyond the control of Cassidy Amber Chapman Worldwide or the agents or employees of Cassidy Amber Chapman Worldwide (“Force Majeure Event(s)”). Cassidy Amber Chapman Worldwide is under no obligation to perform services at a later date if the services scheduled are affected by a Force Majeure Event(s).
